Terms of Service

These Terms of Service ("Terms") govern the use of the Hongxiu Partner Portal, the Hongxiu Dropshipping app and related store integrations, and Hongxiu's product sourcing, production and fulfillment services (together, the "Services"). They are an agreement between Hongxiu Clothing ("Hongxiu", "we", "us") and the business entity that registers for or uses the Services ("you", "Merchant").
By activating a Portal account, connecting a store, or using the Services, you accept these Terms on behalf of your business. If you do not accept them, do not use the Services. Our Privacy Policy explains how personal information is handled and forms part of these Terms.
1. Scope and the Portal
The Services are provided for business use. The Portal is your workspace to select Hongxiu products, prepare store listings, request reserved stock, review supplier orders and pay Hongxiu invoices. Depending on the configured integration, Hongxiu receives supported orders from your connected store and returns fulfillment and tracking updates.
Hongxiu acts as your supplier and fulfillment provider. You remain the seller to your shoppers and are responsible for your storefront, your product listings, your pricing, your consumer-facing policies (including your own returns and refunds policy) and compliance with the laws and platform rules that apply to your business and your shoppers.
2. Accounts and access
Portal accounts are invitation-based and registered to a business (organization). You are responsible for the accuracy of your account information, for protecting your credentials, and for all activity under your account. Notify us promptly if you suspect unauthorized access. You may invite or remove your own users only as your organization's permissions allow.
Store integrations are tied to your Portal account. A store can belong to one Portal account at a time. Access tokens and connection records are used only to operate the integration, and you must have authority to connect each store.
3. Products, prices and orders
Product information, images, variants and availability come from Hongxiu's catalog and may change. Supplier prices are shown in the Portal and may be updated from time to time; the price applied to your order is the one confirmed in your supplier invoice. Your store selling price is set by you and does not change what you pay Hongxiu.
An order becomes a Hongxiu commitment when it is accepted and the applicable supplier invoice is confirmed and settled as described in Section 4. Availability is confirmed before collection; if supply cannot be confirmed, the order may be adjusted or cancelled and eligible amounts are returned as described in Section 6.
You are responsible for the accuracy of the order data you send us, including product mappings, items and quantities, and the delivery address as validated before payment.
4. Payments, balance and billing
Supplier charges (products, shipping and any agreed fees) are separate from the payments your shoppers make to your store. A shopper's successful checkout does not settle your Hongxiu invoice.
You pay Hongxiu through the Portal using your prepaid balance and/or card payments processed by our payment provider (currently Stripe). Deposits are credited after confirmed payment. Optional automatic balance payment can be enabled by an account owner or admin in Settings; it may pay confirmed invoices from available balance but does not authorize automatic card charges.
If you believe a charge is incorrect, contact us before initiating a dispute with your payment provider so we can review it. Refunds of supplier charges, where they apply, are governed by Section 6.
5. Shipping and fulfillment
Hongxiu arranges fulfillment and selects the shipping channel for each parcel based on your stated delivery preference, the destination, the contents of the order and the available services. Any shipping estimate, reference price or estimated delivery time shown in the Portal is indicative only. The final shipping charge is the amount confirmed on the supplier invoice, and delivery times are estimates provided by carriers, not guaranteed dates.
Hongxiu dispatches to the delivery address confirmed before payment. If you or your shopper need to change an address, contact us immediately; changes may not be possible after dispatch, and additional costs caused by address changes or incorrect addresses are not borne by Hongxiu. Tracking numbers and available tracking events are returned to your connected store and shown in the Portal as the carrier provides them.
6. Returns, refunds and after-sales
6.1 How after-sales is handled
Hongxiu ships directly to your shoppers. Because international return shipping usually costs more than the goods, physical returns to Hongxiu are not accepted. Qualifying cases are instead resolved with a free replacement or a refund to your Portal balance. Claims are reviewed using the order record, carrier tracking and the evidence you provide. This process is separate from refunds to your shoppers, which you handle in your own store.
6.2 Cases we cover
- Cancellation before dispatch: the supplier order is cancelled and eligible supplier payments are returned to your Portal balance. A cancellation request is not confirmed until it is processed and, once an order has been dispatched, the cancellation cannot be completed automatically.
- Damaged, defective or wrong item: report within 30 days of delivery with clear photos of the item, the packaging and the shipping label. Hongxiu arranges a free replacement or a refund.
- Lost or blocked in transit: when carrier tracking shows no movement within the carrier's standard investigation window, Hongxiu investigates with the carrier and arranges a replacement or refund.
- Quality problems commonly covered: manufacturing defects, printing or labeling errors made by Hongxiu, and shortages against the packed list.
6.3 Cases we do not cover
- No-defect returns after delivery (a change of mind, size or color preference, or your shopper's regret) are not accepted and do not qualify for a supplier refund. Handle these under your own storefront return policy. Any goodwill credit is offered at Hongxiu's discretion and is not a policy commitment.
- Address or contact mistakes supplied by you or changed after dispatch, or delivery failures caused by local restrictions the shopper did not disclose.
- Normal wear, misuse, or damage occurring after delivery, or items altered by your shopper or a third party.
- Late or unsupported claims: requests filed after the deadlines above, or without sufficient evidence, may be declined.
6.4 How resolutions are made
Approved refunds are credited to your Portal balance, unless a card refund through our payment provider applies. Replacements are shipped at no product or shipping charge. Where a carrier accepts liability, Hongxiu pursues the carrier claim; carrier compensation outcomes do not change your entitlement under this Section. Hongxiu may request that you return a defective item only where that is practical and we agree the return cost in advance; you are never required to send goods back without a prior agreement.
6.5 How to submit a claim
Contact us at service@wearhongxiu.com with your supplier order number, a description of the issue, and photos or carrier screenshots. Keep communication with your shopper separate. We aim to acknowledge claims promptly and will confirm the resolution for each reviewed case.
This Section 6 sets out the agreed after-sales process between you and Hongxiu and applies in place of any general expectations of physical returns.
7. Inventory, stock requests and materials
Reserved stock and stock requests are governed by the quantities and prices confirmed by Hongxiu. Payment for a stock request does not by itself make stock available; inventory becomes sellable when it is marked ready. Reserved inventory belongs to you for fulfillment through the Services and may not be resold outside the agreed relationship.
Branding materials (labels, hangtags, packaging) that you ask Hongxiu to use are your responsibility as to their content and rights, and their availability is tracked by Hongxiu. Contact us before relying on a specific material for a specific order.
8. Intellectual property and content
Hongxiu's catalog content, images, trademarks and the Portal software remain Hongxiu's property. You receive a limited right to use supplier images and product information to list and sell the products you source through the Services. Your own content, trademarks and marks you supply remain yours, and you grant us the right to use them as needed to fulfill orders and operate your chosen branding materials.
You must not copy or republish supplier content in a way that misrepresents another merchant's store or claims rights you do not hold.
9. Data protection
Personal information is handled as described in the Privacy Policy, which forms part of these Terms. You are responsible for having a lawful basis to share shopper information with us for fulfillment and for your own storefront privacy notices.
Where you are established in the European Economic Area, the United Kingdom or Switzerland, or where the GDPR otherwise applies, our Data Processing Agreement applies to the personal data we process on your behalf and forms part of these Terms. It contains the Article 28 processor terms, the technical and organizational measures, the current sub-processor list and the international transfer safeguards (the EU Standard Contractual Clauses, Module Two) that apply to our fulfillment operations in China.
10. Availability, disclaimers and liability
We work to keep the Services available and accurate but do not guarantee uninterrupted or error-free operation. Catalog availability, carrier service levels and delivery times depend on third parties and may change. The Services are provided with reasonable skill and care; to the extent permitted by law, all other warranties are excluded.
To the extent permitted by law, neither party is liable for indirect or consequential losses, lost profits or lost goodwill. Our total liability arising out of or relating to an affected order is limited to the supplier amounts you paid for that order. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access for material breach of these Terms, misuse of the Services, legal or platform requirements, or non-payment. Termination does not cancel outstanding commitments: orders already accepted, reserved inventory, balances and records required for accounting or legal compliance are handled until they are settled. Sections that by their nature should survive termination (including data, liability, and dispute provisions) survive.
12. Changes to these Terms
We may update these Terms as the Services or legal requirements change. The date above identifies the latest revision. Where changes are material, we will provide notice in the Portal or by email before they take effect. Continuing to use the Services after an update means you accept the updated Terms.
13. Governing law and contact
These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules, and the courts at Hongxiu's principal place of business have jurisdiction, unless mandatory law where you are established provides otherwise. The parties will first attempt to resolve any dispute through good-faith discussion.
